On March 2, 2015, Square 1 and PacWest announced the signing of a definitive agreement and plan of merger pursuant to which PacWest will acquire Square 1 in a transaction valued at approximately $849 million.

Under the terms of the transaction, Square 1 shareholders are anticipated to receive a fixed ratio of 0.5997 shares of PacWest for each Square 1 common share they own, or approximately $27.49 per share. The transaction is expcted to close in the fourth quarter of 2015, though Square 1 shareholders will most likely be asked to vote on the transaction well before that time.
