About the Lawsuit

RCS Capital and certain of its executives are charged with failing to disclose material information during the Class Period, violating federal securities laws.


These false statements and omissions included, in part, that: (i) American Realty Capital Properties, Inc.'s financial statements were materially false and misleading as a result of a massive accounting scandal perpetrated and concealed by American Realty's senior management, including RCS Capital's former Chairman Nicholas Schorsch; (ii) RCS Capital's proposed acquisition of Cole Capital from American Realty was at serious risk due to the fraud; (iii) RCS Capital's revenue stream from its relationship with American Realty was in jeopardy as a result of the accounting scandal; and (iv) RCS Capital's statements concerning its financial position and the Cole Capital acquisition were materially false and misleading at all relevant times.
