Intellicheck Mobilisa Reports on Robert N. Williamsen's Option Award as Part of Employment Agreement


Intellicheck Mobilisa, Inc. (NYSE MKT:IDN), a leader in ID Verification and Wireless Technology, reports on Robert N. Williamsen's option award, in accordance with NYSE shareholder approval governance rules. Intellicheck Mobilisa announced Mr. Williamsen's appointment as Chief Revenue Officer on December 15, 2014.

In connection with his employment, the Company has granted Mr. Williamsen an option to purchase 100,000 shares of its common stock, with an exercise price of $3.09. Such options vest 25% per year on each anniversary and expire five years from the grant date of December 18, 2014. The Company's Independent Compensation Committee approved this employment inducement option award in reliance on an employment inducement exception to NYSE shareholder approval governance rules. To comply with the terms of this exemption, the inducement grant requires a prompt public announcement of the award and provision of written notice of the award to the NYSE.
