ENEL - THE SLATE OF CANDIDATES FOR THE RENEWAL OF THE BOARD OF DIRECTORS PRESENTED BY ITALIAN MINISTRY OF ECONOMY AND FINANCE HAS BEEN FILED(ENP Newswire Via Acquire Media NewsEdge) ENP Newswire - 18 April 2014 Release date- 17042014 - Rome - Enel SpA hereby informs that today the shareholder Italian Ministry of Economy and Finance, which owns approximately 31.2% of Enel's share capital, filed a slate of candidates for the office of Director, in view of the renewal of the Company's Board of Directors put on the agenda at the Annual General Shareholders' Meeting convened on next May 22nd in a single call. Such slate is composed of the following candidates: 1. Maria Patrizia Grieco; 2. Francesco Starace; 3. Salvatore Mancuso; 4. Paola Girdinio; 5. Alberto Bianchi; 6. Alberto Pera. Candidate who declared to hold the independence requirements provided for by the law (articles 147-ter, paragraph 4 and 148, paragraph 3 of the Unified Financial Act) and article 3 of the Italian Corporate Governance Code. The above mentioned slate and the relevant accompanying documentation will be made publicly available by the deadline provided for by the law at the company's headquarters, on the Borsa Italiana S.p.A. website (www.borsaitaliana.it) and on the Enel's website (www.enel.com). With reference to the further items on the agenda of the aforementioned Enel's Shareholders' Meeting relating to the renewal of the Board of Directors, the shareholder Italian Ministry of Economy and Finance has furthermore disclosed its intention to submit the following proposals: to resolve that the Board of Directors shall be composed of 9 members; to set the term of the Board of Directors in 3 accounting periods and, therefore, until the approval of the financial statements as of December 31st, 2016; to appoint the candidate Maria Patrizia Grieco as Chairperson of the Board of Directors.
